These Terms of Service (“Terms”) govern your access to and use of www.imaginefirstlabs.com, customer accounts, communications, and purchases from Imagine First LLC (“Imagine First,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing the Services, creating an account, or placing an order, you acknowledge that you have read and agree to these Terms and the policies incorporated below. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 21 years old and legally capable of entering a binding agreement. If you act for a laboratory, institution, company, or other organization, you represent that you have authority to bind that organization. You are responsible for complying with all laws and rules applicable to you, your organization, your location, and your activities.
2. Strict Research Use Only
All products offered by Imagine First are supplied exclusively for lawful laboratory research and development. They are not intended for human or veterinary use, consumption, administration, diagnosis, treatment, cure, prevention of disease, household use, food, drugs, cosmetics, clinical use, or use involving human subjects.
By purchasing or possessing a product, you represent and warrant that:
- you are purchasing solely for lawful research purposes;
- you have the knowledge, facilities, training, safeguards, and authority necessary to receive, store, handle, transport, and dispose of research materials;
- you will independently evaluate hazards and follow applicable laws, institutional requirements, and appropriate laboratory practices;
- you will not relabel, misrepresent, administer, consume, compound for use, or distribute a product for any prohibited purpose; and
- you will not rely on Site content as instructions for human or animal use.
We may request information reasonably necessary to verify eligibility or intended use and may refuse, restrict, or cancel service when we believe an order or activity presents legal, regulatory, safety, fraud, or policy concerns.
3. Chemical Supplier; No Medical Relationship
Imagine First is a chemical supplier. It is not a pharmacy, medical provider, compounding pharmacy under section 503A, or outsourcing facility under section 503B of the Federal Food, Drug, and Cosmetic Act. Nothing provided through the Services is medical advice, creates a clinician-patient relationship, or recommends human or veterinary use. Products and statements have not been evaluated by the U.S. Food and Drug Administration unless expressly stated otherwise.
4. Product Information, Research Summaries, and COAs
Product descriptions, research summaries, references, storage information, molecular information, images, and other Site content are provided for general research information. They do not replace independent scientific judgment, applicable safety documentation, institutional review, or legal advice.
A certificate of analysis (“COA”) reports results associated with the identified batch and testing shown on that document. A COA does not guarantee experimental results, suitability for a particular protocol, regulatory status, or fitness for any human, veterinary, diagnostic, therapeutic, or other prohibited use. Product images may be illustrative; packaging, labels, and appearance may vary without changing the labeled product identity or quantity.
5. Accounts and Account Security
You must provide accurate, current information and keep your email account and devices secure. Customer-account authentication may be administered by Shopify through email-based codes. You are responsible for activity conducted through your account and must notify us promptly of suspected unauthorized access. We may suspend or terminate accounts that are inaccurate, fraudulent, abusive, unlawful, or inconsistent with these Terms.
6. Orders, Acceptance, and Availability
An order submission is an offer to purchase and is subject to our acceptance, verification, payment confirmation, inventory, shipping restrictions, and compliance review. An order confirmation does not guarantee acceptance or shipment. We may refuse or cancel an order, limit quantities, require additional verification, correct errors, or restrict sales by person, organization, address, region, or jurisdiction.
If we cancel an accepted order after receiving cleared payment, we will provide any refund required under applicable law and our published policies. Products displayed as “coming soon,” out of stock, unavailable, or otherwise non-purchasable cannot be ordered until made available.
7. Prices, Discounts, and Errors
Prices are shown in U.S. dollars and may change without notice before an order is accepted. Taxes, shipping, and other disclosed charges may apply. Discount, affiliate, promotional, store-credit, and reward offers are subject to their stated conditions, may not be combined unless expressly permitted, have no cash value unless required by law, and may be modified or withdrawn prospectively.
We may correct typographical, pricing, inventory, image, product-information, or calculation errors and may cancel affected orders. If payment has already been received for a canceled order, we will address it as required by applicable law and our policies.
8. Payment and Zelle
Full cleared payment is required before fulfillment unless we expressly agree otherwise. Zelle is currently the primary payment method. Zelle is operated by participating financial institutions and is governed by their terms and privacy practices; Imagine First does not control the Zelle network.
You are responsible for confirming the recipient and amount before sending payment and for using only payment instructions provided through our authorized checkout or communications. Zelle payments may have limited cancellation or recovery options after the recipient is enrolled or funds are delivered. Contact your financial institution promptly regarding an error or unauthorized transaction. Never send us banking passwords, PINs, access codes, or full account credentials.
Payment does not require us to accept an unlawful, unavailable, fraudulent, incorrectly priced, or otherwise restricted order.
9. Shipping, Delivery, and Address Accuracy
Shipping and delivery estimates are not guarantees. You are responsible for providing a complete, accurate, deliverable address and monitoring tracking. Delays may occur because of carriers, weather, emergencies, inspections, address issues, or circumstances beyond our reasonable control.
Title and risk of loss transfer as provided by applicable law and the shipping terms for the order. Nothing in these Terms eliminates rights that cannot legally be waived. Report a missing, damaged, or incorrect shipment promptly in accordance with our Shipping Policy and Return and Refund Policy, and preserve the packaging, product, label, and supporting photographs.
10. Local Pickup
Local pickup is available only when expressly offered and confirmed in advance. Placing an order or requesting a pickup time does not create an appointment. Do not arrive until you receive confirmation. The person collecting an order may be required to provide the order number and identification reasonably necessary to verify the pickup. We may reschedule or decline a pickup for safety, operational, verification, or compliance reasons. Uncollected orders remain subject to our published policies and applicable law.
11. Returns, Refunds, Cancellations, and Order Issues
Research materials may be subject to final-sale restrictions for safety, integrity, and chain-of-custody reasons. Eligibility, deadlines, required evidence, exclusions, and available resolutions are governed by our Return and Refund Policy. Do not return any product without prior written authorization. Unauthorized returns may be refused. These Terms do not limit non-waivable consumer rights.
12. Storage, Handling, and Disposal
You assume responsibility for receiving, securing, storing, handling, documenting, transporting, and disposing of products after delivery or pickup. Storage information is general and may vary by product, batch, protocol, or facility. You must conduct your own hazard assessment and use qualified personnel, suitable equipment, and lawful disposal procedures. Keep products secured from children, unauthorized persons, and animals.
13. Prohibited Conduct
You may not:
- use, purchase, transfer, advertise, or distribute products for human or veterinary use or any unlawful purpose;
- misrepresent identity, age, qualifications, affiliation, intended use, payment status, or delivery information;
- circumvent age gates, purchase restrictions, technical controls, or compliance reviews;
- use the Site to provide medical claims, dosing, administration, or consumption guidance;
- resell products without our prior written authorization and full compliance with applicable law;
- infringe intellectual-property, privacy, or other rights;
- introduce malware, scrape the Site abusively, interfere with security, or attempt unauthorized access; or
- use the Services in violation of export controls, sanctions, or other applicable laws.
14. Research References and Third-Party Content
Links, citations, publications, apps, and third-party services are provided for convenience. We do not control and are not responsible for their accuracy, availability, security, content, conclusions, or privacy practices. A link or citation does not constitute endorsement or a representation that a publication supports any particular use of a product.
15. Intellectual Property
The Site and its text, graphics, product presentation, photographs, logos, designs, software, and other content are owned by or licensed to Imagine First and are protected by applicable intellectual-property laws. Except for limited personal access to the Services, no license is granted. You may not reproduce, modify, distribute, sell, create derivative works from, or commercially exploit Site content without prior written permission.
16. Electronic Communications
You consent to receive agreements, notices, order updates, disclosures, and other communications electronically at the contact information you provide. Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by law. Marketing communications remain subject to the choices described in our Privacy Policy.
17. Privacy
Our Privacy Policy explains how personal information is collected, used, and disclosed and is incorporated into these Terms. The store and customer-account services are hosted by Shopify, which processes data as described in our Privacy Policy and Shopify’s applicable privacy materials.
18. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, SITE CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” IMAGINE FIRST DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT UNINTERRUPTED SITE ACCESS, ERROR-FREE CONTENT, A PARTICULAR RESEARCH OUTCOME, OR FITNESS FOR HUMAN, VETERINARY, DIAGNOSTIC, THERAPEUTIC, OR CLINICAL USE.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IMAGINE FIRST LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, OR RESEARCH; OR LOSSES ARISING FROM UNAUTHORIZED, UNLAWFUL, IMPROPER, OR PROHIBITED PRODUCT USE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PRODUCT, ORDER, OR THE SERVICES WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO IMAGINE FIRST FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability or rights that cannot be excluded or limited under applicable law.
20. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Imagine First LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, judgments, and reasonable costs arising from your unlawful, prohibited, negligent, or unauthorized use, storage, handling, transfer, resale, disposal, or misrepresentation of products; your breach of these Terms; or your violation of another person’s rights. This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.
21. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent federal law applies. Subject to rights that cannot be waived, any legal proceeding arising from these Terms or the Services must be brought in a court of competent jurisdiction located in Los Angeles County, California, and the parties consent to that venue and jurisdiction.
22. Suspension and Termination
We may suspend or terminate access, cancel pending orders, or refuse future service when reasonably necessary to address suspected fraud, threats, abuse, unlawful conduct, prohibited use, compliance concerns, or material violations of these Terms. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations, indemnification, and governing law—will survive.
23. Changes to the Services or Terms
We may modify the Services and update these Terms prospectively. The revised date will appear above. We will provide additional notice when required by law. Changes do not retroactively alter an accepted order unless permitted by law or agreed by the parties.
24. General Provisions
These Terms and the policies incorporated by reference constitute the entire agreement concerning the Services and supersede prior discussions on the same subject. If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent; we may assign these Terms as part of a merger, reorganization, financing, sale, or transfer of the business.
